Terms And Conditions

Visionary Software Solutions LLP
Effective Date: 13th May 2025

  1. Introduction

These Terms and Conditions (“Terms”) govern the use of services provided by Visionary Software Solutions LLP (“Company”, “we”, “our”, or “us”). By accessing or using our services, you (“Client”, “User”, or “you”) agree to be legally bound by these Terms.

If you do not agree with any part of these Terms, you must refrain from using our services.

  1. Scope of Services

Visionary Software Solutions LLP provides the following services:

  • Website Development
  • Mobile App Development
  • Digital Marketing
  • API Development
  • Application Maintenance
  • Custom Software Development
  • Implementation & Deployment
  • Software Security Services
  • Staffing & Resource Augmentation

Each service may be governed by separate agreements, proposals, or Statements of Work (SOW), which shall be read in conjunction with these Terms.

  1. Eligibility

By using our services, you confirm that:

  • You are legally capable of entering into a binding agreement under applicable law
  • You are authorized to represent your organization (if applicable)
  • All information provided by you is accurate and complete
  1. Engagement and Acceptance
  • All projects shall commence only after formal approval of proposal, quotation, or SOW.
  • Acceptance may be through written confirmation, email approval, or payment initiation.
  • Any modifications must be mutually agreed upon in writing.
  1. Client Responsibilities

The Client agrees to:

  • Provide accurate project requirements and necessary documentation
  • Ensure timely communication and feedback
  • Provide access to systems, servers, or third-party services where required
  • Obtain necessary licenses, consents, and approvals
  • Ensure that any content provided does not violate applicable laws or third-party rights

Delays caused by the Client may affect timelines and costs.

  1. Fees and Payment Terms
  • Fees shall be as specified in the proposal or agreement
  • Payments may be structured as upfront, milestone-based, or recurring
  • Invoices must be paid within the agreed payment period
  • Late payments may attract interest or suspension of services
  • All fees are non-refundable unless otherwise agreed in writing

Taxes (including GST) shall be applicable as per Indian law.

  1. Intellectual Property Rights

7.1 Company Ownership

  • All tools, frameworks, methodologies, and pre-existing IP remain the property of the Company

7.2 Client Ownership

  • Upon full payment, the Client shall own the final deliverables, unless otherwise specified

7.3 Third-Party Components

  • Any third-party software, plugins, or tools are subject to their respective licenses
  1. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business information
  • Trade secrets
  • Technical data
  • Client and project details

Confidential information shall not be disclosed without prior written consent, except where required by law.

  1. Data Protection

The Company shall implement reasonable measures to protect data in accordance with applicable laws. However:

  • The Client is responsible for backing up their data
  • The Company is not liable for data loss unless caused by proven negligence
  1. Service Levels and Support
  • Timelines and deliverables will be defined in the project agreement
  • Maintenance and support services are provided as per agreed scope
  • Any additional support outside scope may be charged separately
  1. Revisions and Change Requests
  • Requests for changes beyond agreed scope shall be treated as “Change Requests”
  • Such changes may affect timelines and costs
  • Work will proceed only after approval of revised terms
  1. Digital Marketing Disclaimer

For digital marketing services:

  • The Company does not guarantee specific rankings, traffic, or revenue
  • Results depend on multiple external factors beyond control
  1. Staffing Services Terms
  • Candidates provided are based on available information and assessments
  • The Company is not liable for employee performance after placement
  • Replacement terms, if any, will be defined separately
  1. Warranties and Disclaimers
  • Services are provided on an “as-is” and “as-available” basis
  • The Company does not warrant uninterrupted or error-free operation
  • No guarantees are made regarding business outcomes
  1. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the amount paid by the Client for the specific service
  1. Indemnification

The Client agrees to indemnify and hold harmless the Company against:

  • Claims arising from Client-provided content
  • Violation of laws or third-party rights
  • Misuse of services
  1. Termination

17.1 By Either Party

Either party may terminate the agreement:

  • With prior written notice
  • If the other party breaches the Terms

17.2 Effect of Termination

  • All outstanding payments become immediately due
  • Access to services may be revoked
  • Confidentiality obligations shall survive termination
  1. Force Majeure

The Company shall not be liable for delays or failure due to events beyond reasonable control, including but not limited to:

  • Natural disasters
  • Government actions
  • Internet or infrastructure failures
  • Cyber-attacks
  1. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Kolkata, West Bengal / Vadodara, Gujarat.

  1. Dispute Resolution
  • Parties shall first attempt to resolve disputes amicably
  • If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996
  1. Amendments

The Company reserves the right to modify these Terms at any time. Updated Terms will be published on official platforms.

  1. Entire Agreement

These Terms, along with any SOW or agreement, constitute the entire agreement between the parties and supersede all prior communications.

  1. Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.

  1. Waiver

Failure to enforce any provision shall not be deemed a waiver of rights.
